Acceptance of Terms
By creating a BarBoard account, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use BarBoard.
Description of Service
BarBoard provides real-time profit and loss tracking software for bar and restaurant owners, including:
- Manual sales entry and POS integration
- Cost template management
- Daily P&L calculations
- Industry benchmarking and comparative analytics
Account Registration
- You must provide accurate information during registration
- You are responsible for maintaining account security
- You must be 18+ years old and legally able to enter contracts
- One user account per person
Beta Access
BarBoard is currently in closed beta. Access is limited and requires a beta access code. We reserve the right to:
- Limit the number of beta users
- Revoke access for violations of these Terms
- Shut down or restart the service during beta testing
Data Usage License [BUSINESS CRITICAL]
License Grant to BarBoard
By using BarBoard, you grant us a perpetual, worldwide, non-exclusive, royalty-free license to:
- Use anonymized, aggregated data derived from your usage for product improvement
- Include anonymized data in industry benchmarks shown to other users
- Publish anonymized industry insights and trend reports
- Use aggregated data for research and feature development
Scope of Data Usage
We may use anonymized, aggregated data for:
- Product Improvement: Optimizing features, fixing bugs, developing new functionality
- Industry Benchmarking: Comparative analytics (e.g., “average pour cost across 50+ bars”)
- Research and Publications: Blog posts, whitepapers, trend reports with anonymized insights
- Marketing: Data-driven content demonstrating industry trends
Anonymization and Privacy
- Data is anonymized and aggregated across multiple venues
- Individual venue performance is never disclosed to other users
- Personally identifiable information is stripped before aggregation
- Minimum threshold (20+ data points) required before publishing any benchmark
Perpetual Rights
BarBoard retains perpetual rights to anonymized aggregate insights, even after:
- Account termination
- Service cancellation
- Account deletion
Rationale: Aggregated historical data cannot be “un-aggregated” and is not identifiable to you. This is standard practice for SaaS platforms providing benchmarking features (e.g., Stripe, Square, Toast, Shopify).
Prohibited Conduct
You agree NOT to:
- Share your account credentials with others
- Use BarBoard for illegal purposes
- Attempt to access other users’ data
- Reverse engineer or scrape the application
- Upload malicious code or viruses
- Abuse or overload the service
POS Integration
If you connect Square or Toast:
- You authorize BarBoard to access your POS data
- Credentials are encrypted and stored securely
- You can disconnect at any time from Settings
- We are not responsible for POS API downtime or data discrepancies
Data Accuracy
- BarBoard provides calculations based on data you provide
- We are not responsible for inaccurate data entry
- Calculations are estimates and should not replace professional accounting
- Always consult a CPA for tax and financial advice
Service Availability
- BarBoard is provided “as-is” during beta
- We do not guarantee 100% uptime
- We may perform maintenance without notice
- We are not liable for data loss (you should keep records elsewhere)
Intellectual Property
- BarBoard software and brand are owned by BarBoard
- You retain ownership of your business data
- Anonymized aggregated data is considered BarBoard intellectual property
Fees and Billing
- BarBoard is currently free during closed beta
- We reserve the right to introduce paid plans in the future
- Users will be notified 30 days before any billing begins
- You may cancel before billing starts to avoid charges
Termination
We may terminate your account if you:
- Violate these Terms of Service
- Provide false information
- Abuse the service
- Engage in prohibited conduct
You may terminate your account at any time by deleting it in Settings.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- BarBoard is provided “as-is” without warranties
- We are not liable for lost profits, data loss, or indirect damages
- Our total liability is limited to $100 or fees paid (whichever is greater)
- We are not responsible for third-party services (Square, Toast, Fly.io, etc.)
Indemnification
You agree to indemnify BarBoard from any claims arising from:
- Your violation of these Terms
- Your misuse of the service
- Your violation of laws or third-party rights
Dispute Resolution
- These Terms are governed by the laws of the United States
- Disputes will be resolved through binding arbitration (not class action)
- You may opt out of arbitration within 30 days by emailing legal@barboard.net
Changes to Terms
We may update these Terms at any time. Continued use after changes constitutes acceptance. Significant changes will be announced via email.
Entire Agreement
These Terms, along with the Privacy Policy, constitute the entire agreement between you and BarBoard.
